1. Agreement

These Terms of Service govern your use of cadenceflow.co and any diagnostic or consulting services provided by Cadence Flow, a sole proprietorship operated by Ray Vasquez in California, USA. By submitting the intake form, booking a discovery call, or engaging our services, you agree to these terms. If you do not agree, do not use the website or services.

2. Services

Cadence Flow provides operational diagnostic services including discovery calls, engagement briefs, diagnostic case reports, and improvement roadmaps. The scope of each engagement is defined in a separate proposal or statement of work provided prior to commencement. Services are delivered remotely. Delivery timelines are estimates and not guarantees, though we make every reasonable effort to meet stated timelines.

3. Diagnostic engagement

The standard diagnostic engagement includes one 60-minute discovery call conducted via Google Meet, one engagement brief, and up to three diagnostic case reports. The engagement brief and case reports are delivered within five business days of the discovery call, subject to the availability of information provided during the call. Additional cases, implementation support, and ongoing advisory services are scoped and priced separately.

4. Payment

Payment terms are specified in your engagement proposal. Accepted payment methods include bank transfer, check, and credit card where available. Payment is due upon receipt of invoice unless otherwise agreed in writing. Late payments may result in paused or suspended services. All fees are in US dollars. Fees are non-refundable once work has commenced unless otherwise agreed in writing.

5. Refunds

If you book a discovery call and cancel more than 24 hours before the scheduled time, no fee is charged. Cancellations within 24 hours of the scheduled call may be subject to a cancellation fee equal to 50% of the engagement fee. Once a diagnostic brief or case report has been delivered, fees for that deliverable are non-refundable. If you are unsatisfied with a deliverable, contact ray@cadenceflow.co within 7 days of delivery and we will work to address your concerns.

6. Confidentiality

We treat all information you share during the intake process, discovery call, and engagement as confidential. We will not disclose your business information to third parties without your consent, except as required by law or as necessary to deliver the services (for example, using Google Workspace to store and transmit documents). We may reference the type of engagement or industry in aggregate or anonymized form for marketing purposes, but we will never identify your business by name without your explicit written permission.

7. Intellectual property

Diagnostic briefs, case reports, and roadmaps delivered to you are yours to use, share internally, and act on. You may not resell, sublicense, or represent our deliverables as your own original work. The Cadence Flow methodology, frameworks, templates, and website content remain the intellectual property of Ray Vasquez and may not be reproduced or used commercially without written permission.

8. Limitation of liability

Cadence Flow provides diagnostic and advisory services. We do not guarantee specific business outcomes, revenue increases, cost reductions, or operational improvements. Results depend on your implementation of recommendations, market conditions, and factors outside our control. To the maximum extent permitted by California law, our total liability for any claim arising from these services is limited to the fees paid for the specific engagement giving rise to the claim.

9. Disclaimer

Our services are informational and advisory in nature. Nothing we provide constitutes legal, financial, accounting, or regulatory advice. You should consult qualified professionals in those fields before making decisions based on our recommendations. We make no warranties, express or implied, regarding the fitness of our recommendations for your specific circumstances.

10. Governing law

These terms are governed by the laws of the State of California. Any disputes arising from these terms or our services will be resolved in the courts of California. You agree to submit to the personal jurisdiction of California courts for this purpose.

11. Changes to these terms

We may update these Terms of Service from time to time. When we do, we will update the date at the top of this page. Continued use of the website or services after changes are posted constitutes your acceptance of the updated terms. For active engagements, the terms in effect at the time of engagement commencement apply.
